Assemble the financials
Three years of revenue, margins and EBITDA, receivables ageing, and a clear picture of client concentration.
Document the operations
Recovery rates by portfolio type, the technology stack, compliance certifications and audit history, and how key client contracts are structured.
Close the gaps
Anything a buyer will ask for and you cannot yet produce is a discount waiting to happen. Better to find it now than in diligence.
What buyers actually underwrite
Buyers in accounts receivable management are not buying last year's revenue. They are buying the likelihood that it repeats after the owner leaves. That makes a handful of things disproportionately important: how much revenue sits with a single client, whether the licences and bonds transfer cleanly, whether recovery rates hold up across portfolio vintages, and whether the compliance record would survive a regulator's attention.
Client concentration is usually the first question and often the largest single adjustment. An agency with one client at a large share of revenue is a different asset from one with the same revenue spread across many, regardless of what the top line says.
Why preparation moves the number
The most expensive form of uncertainty is making a buyer reconstruct your business from scattered files and verbal explanation. Every unanswered question gets priced, and it gets priced against you.
